Termination; Modification
You agree that, without notice, SignalRank may terminate these Terms and Conditions, or suspend your access to the Service or Content, with or without cause at any time and effective immediately. These Terms and Conditions terminate immediately without notice from SignalRank if, in SignalRank's sole discretion, you fail to comply with any provision.
SignalRank shall not be liable to you or any third party for termination or suspension of the Service or Content, or any claims related to such termination or suspension. SignalRank and/or Third-Party Providers may discontinue or modify the Content, or any portion thereof, at any time. You release and agree to indemnify and hold harmless SignalRank and the Third-Party Providers for any loss or damages arising from or relating to such discontinuation or modification.

SignalRank and/or Third-Party Providers may provide links to other websites or resources. Because neither SignalRank nor Third-Party Providers controls such sites and resources, you acknowledge and agree that neither SignalRank nor Third-Party Providers is responsible for availability of such external sites or resources.
SignalRank and Third-Party Providers do not endorse and are not liable for content, advertising, products, or other materials on or available through such sites or resources. Neither SignalRank nor Third-Party Providers is responsible or liable, directly or indirectly, for damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through such sites or resources.
Applicable Policies
In addition to these Terms and Conditions, your access to and use of the Content and Service is subject to SignalRank's then-current policies relating to the Content and Service, including, without limitation, the SignalRank Privacy Policy available on the Service. You agree to be bound by these policies and all other SignalRank policies applicable to access and use of the Content and Service.
By using the Service, you consent to have your personal data transferred to and processed by SignalRank and its affiliates. As part of providing the Service, SignalRank may provide certain communications, such as service announcements and administrative messages. These communications are considered part of the Service, and you may not be able to opt out from receiving them.
Indemnification
You will indemnify and hold harmless SignalRank and the Third-Party Providers, and their officers, directors, agents, partners, employees, licensors, distributors, and representatives, from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your access to and/or use of, or interaction with, the Content (including Third Party Content), or any act, error, or omission involving use of your account or any user of your account, including but not limited to matters relating to incorrect, incomplete, or misleading information; libel; invasion of privacy; infringement of intellectual property; any defective product; injury or damage to person or property caused by products sold or otherwise distributed through or in connection with the Service; or violation of applicable law.

SignalRank may revise these Terms and Conditions at any time by updating this document. You agree to be bound by subsequent revisions and agree to review these Terms and Conditions periodically for changes. The most updated version will be available under the “SignalRank Terms and Conditions” link on the SignalRank website and mobile application.
Applicable Law and Venue; Severability
You agree that these Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of California, without giving effect to principles of conflicts of law. Any legal action or proceeding arising under these Terms and Conditions will be brought exclusively in courts located in Santa Clara County, California, and you hereby irrevocably consent to personal jurisdiction and venue therein.
If any provision of these Terms and Conditions is deemed unlawful, void, or unenforceable, that provision will be deemed severable and will not affect validity and enforceability of remaining provisions.
Eligibility
Portions of the Service that describe actual investment opportunities or offerings of securities are available only to certain qualified, registered, and authorized users. The Service may not be available in some jurisdictions or to all users.
Only “accredited investors” as defined in Rule 501 of Regulation D of the Securities Act of 1933, as amended (the “Securities Act”), are authorized to access such services and web pages (such persons being “Accredited Investors”).
An Accredited Investor means an individual with net worth of more than $1 million (excluding primary residence), or gross income for each of the last two years of at least $200,000 ($300,000 jointly with spouse) with expectation of similarly qualifying income during the current year.
You may be required to provide supporting documents to SignalRank proving Accredited Investor status, including questionnaire and background information. Failure to provide such information is cause for SignalRank to discontinue your use of the Service.
The Service may not be used by any person or entity in any jurisdiction where provision or use would be contrary to applicable laws, rules, or regulations of any governmental authority.
Securities Products and Investor Qualifications
The Service is available only to Accredited Investors who are at least 18 years old. You represent and warrant that if you are an individual, you are of legal age to form a binding contract, and all registration information you submit is accurate and truthful.
SignalRank may, in its sole discretion, refuse to offer the Service to any person or entity and may change eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Service is revoked in such jurisdictions.
If you use the Service on behalf of an entity, you represent and warrant that you are authorized to accept this Agreement on behalf of such entity, and that such entity agrees to indemnify SignalRank for violations of this Agreement.
Investment listings on this Service are suitable only for Accredited Investors who are familiar with and willing to accept the risks associated with private investments. Securities sold through private placements are not publicly traded and are less liquid. Investors may receive restricted stock subject to holding period requirements. Investing in private placements involves risk and liquidity constraints, and investors often hold securities for a long period of time.
Associated persons of SignalRank who are Accredited Investors may, from time to time, invest in offerings listed on the Service. Past performance is not a guarantee of future performance.
